1. Overview
Talent must review and accept these Terms & Conditions before entering into any agreement with Neuronano Basics LLC DBA (Neuronano Talents) (the “Agency”). These Terms apply to all bookings facilitated by the Agency.

2. Representation & Scope
The Agency acts as a booking representative connecting Talent with third-party clients (“Clients”). The Agency is not an employer, and Talent operates as an independent contractor. The Agency provides promotion, placement, and booking coordination. Talent agrees to perform services as outlined in each booking or performance agreement.

3. Image Rights & Promotion
Talent grants the Agency the right to use their name, image, likeness, and media (including photos and videos) for promotion, marketing, and public relations purposes. This usage is royalty-free and ongoing unless otherwise agreed in writing.

4. Contract Terms
Representation is non-exclusive, and either party may terminate the agreement at any time with written notice. Upon termination, a two (2) year non-solicitation period applies, during which Talent may not directly or indirectly engage with Agency clients. In the event of a breach requiring legal action, Talent may be responsible for legal fees, and liquidated damages of $5,000 may apply.

5. Duties & Professional Conduct
Talent agrees to maintain professionalism at all times, follow Client instructions and project requirements, and arrive on time while completing all agreed assignments. Talent will not be required to perform any unsafe, unlawful, or inappropriate acts.

6. Booking Responsibilities
Talent agrees to adhere to all booking schedules, arrive on time, and promptly notify the Agency of any delays or issues. Failure to complete an assignment may result in partial or full loss of compensation. Booking hours may be subject to change, and the Agency is not responsible for reduced hours. In addition, the Booking Agent shall be responsible for providing the Talent with an appropriate support team to manage logistics and accommodations, and for ensuring that adequate event liability insurance is in place for the duration of the engagement.

7. Booking & Payment Policy
To ensure a smooth and secure booking process, the following payment terms apply: a 50% upfront payment is required to confirm and secure any booking. This initial payment guarantees the Talent’s availability for the scheduled date and time. The remaining 50% balance must be paid on the day of the event, prior to or immediately upon performance, unless otherwise agreed in writing. 

8. Non-Solicitation & Client Protection
Talent agrees not to accept direct bookings from Agency clients or bypass the Agency for any opportunities. This includes paid work, unpaid collaborations, sponsorships, or barter arrangements. Any violation may result in commission owed to the Agency and potential legal action.

9. Contact Restrictions
Talent must not share personal contact details with Clients or exchange phone numbers, emails, or social media accounts. All communication must be conducted through the Agency.

10. Content Ownership
All content created during bookings, including photos, videos, and media, is owned by the Agency. Unauthorized use may result in legal action. Client usage rights are handled separately and require prior approval.

11. Talent Safety & Working Conditions
Clients are responsible for providing a safe and professional working environment, including proper conduct, adequate rest, and appropriate facilities. Talent is also expected to take reasonable precautions to ensure their own safety.

These Terms are governed by the laws of the State of California.

THESE TERMS & CONDITIONS, TOGETHER WITH ANY BOOKING CONFIRMATION, CONSTITUTE THE ENTIRE AGREEMENT BETWEEN THE PARTIES AND SUPERSEDE ALL PRIOR AGREEMENTS, DISCUSSIONS, OR UNDERSTANDINGS.
